Remuneration of the Supervisory Board Members
(Financial Year 2007/2008)

The remuneration of the Supervisory Board is regulated in the Articles of Incorporation and approved by the Annual General Meeting. It comprises two components: an annual fixed remuneration of 18,000 Euro and a variable component that depends on the dividend. The variable remuneration amounts to 750 Euro for each 0.05 Euro in dividends per share paid in excess of 0.45 Euro. In other words, the members of the Supervisory Board only receive an additional variable remuneration if the dividend exceeds 0.50 Euro. Whereas fixed remuneration is paid after the financial year-end, the variable remuneration is only payable following the conclusion of the Annual General Meeting that approves the actions of the Supervisory Board for the relevant financial year. The Chairperson, his Deputy, as well as Committee Chairpersons and members of the Supervisory Board, receive remuneration increased by specific multipliers in view of their additional responsibilities. The Chairman of the Supervisory Board therefore receives double the normal Supervisory Board remuneration, with the Deputy Chairman and the Committee Chairmen receiving 1.5 times and the members of the Supervisory Board Committees 1.25 times normal Supervisory Board remuneration. A member of the Supervisory Board who holds more than one position only receives remuneration for the position with the greatest amount. Members of the Supervisory Board who only serve on the Board for part of the financial year receive pro rata remuneration. The same applies respecting the application of the multipliers if a member of the Supervisory Board is only active for a portion of the financial year that entitles increased remuneration. As reimbursement for expenses the members of the Supervisory Board also receive a lump-sum of 500 Euro for each meeting day for higher outlays during the exercise of their responsibilities unless proof is supplied for higher outlays.
