Declaration of Compliance
Declaration regarding the German Corporate Governance Code in accordance with the Stock Corporation Act, Section 161 The Supervisory Board and the Management Board of Heidelberger Druckmaschinen Aktiengesellschaft herewith make the following declaration of compliance in accordance with the Stock Corporation Act, Section 161. Heidelberger Druckmaschinen Aktiengesellschaft will comply with all recommendations published on August 8, 2008, in the official section of the Federal Gazette by the Federal Ministry of Justice of the "Government Commission of the German Corporate Governance Code" as specified in the version effective since June 6, 2008. Moreover, the Company has complied with these recommendations during the period from August 8, 2008 to November 28, 2008. Since its last declaration of compliance on November 28, 2007, until August 7, 2008, Heidelberger Druckmaschinen Aktiengesellschaft has complied with all recommendations published in the official section of the Federal Gazette by the Federal Ministry of Justice of the “Government Commission of the German Corporate Governance Code” as specified in the version effective since June 14, 2007, which was announced on July 20, 2007.
